These Terms and Conditions (hereinafter "T&Cs") govern the provision by Inellis of the Visaje Pro service, a SaaS ultra-personalization platform that transforms photos into stylized visuals ready to print on textiles, objects, and gifts.
These T&Cs apply exclusively to business-to-business (B2B) commercial relationships. Any subscription to the Service implies full and unconditional acceptance of these T&Cs, which take precedence over any other document from the Client, including its own purchasing terms.
Visaje Pro provides a web application and, depending on the subscribed plan, API access allowing the Client to:
The Service is available online 24/7, subject to maintenance operations and force majeure events.
Access to the Service requires the creation of a professional account. The Client is solely responsible for the confidentiality of their login credentials and all activity conducted from their account. Any unauthorized use must be reported immediately to [email].
Prices are stated in euros, exclusive of tax (EUR excl. VAT). The Service is offered as a monthly or annual subscription. Payment is made by credit card or bank transfer, in advance at the beginning of each billing period. A compliant invoice is issued and made available to the Client for each billing period.
Any late payment shall automatically incur late payment penalties at the rate of three times the statutory interest rate, as well as a fixed compensation of 40 euros for recovery costs, in accordance with Articles L.441-10 and D.441-5 of the French Commercial Code.
The subscription is taken out for the duration chosen by the Client (monthly or annual) and is automatically renewed at each term, unless terminated by the Client from their online account or by email to [email], no later than 30 days before the end of the current period. In the event of a material breach by either party of its obligations, the other party may terminate the contract by operation of law after formal notice has remained without effect for 15 days.
Inellis retains all intellectual property rights over the Visaje Pro platform, its algorithms, interface, and documentation. The Client retains all rights to the photos they upload to the Service. The visuals generated by the Service are granted to the Client under a non-exclusive license, for commercial use related to their business, without limitation of duration or territory.
The processing of personal data is governed by our Privacy Policy. Inellis undertakes to comply with applicable data protection regulations, in particular the General Data Protection Regulation (GDPR).
Inellis is subject to a best-efforts obligation in the provision of the Service. Inellis shall not be held liable for temporary unavailability of the Service, data loss due to force majeure, or non-compliant use of the Service by the Client. In any event, the total liability of Inellis under the contract is limited to the amounts actually paid by the Client during the twelve (12) months preceding the event giving rise to the claim.
These T&Cs are governed by French law. In the event of a dispute relating to the interpretation or performance of these terms, the parties undertake to seek an amicable solution. Failing agreement, the dispute shall be submitted to the exclusive jurisdiction of the Paris Commercial Court.
